Both are legal and almost the same aside from a few differences. The CIMs mount differently and the output shaft on the old one is longer.
Careful with the distinction between the GP-56012 and GP-56012-HC gearboxes. FIRST has issued a Q&A with their opinion on the matter. (I'm assuming that their answer presumes that the gearboxes in question meet the conditions for being covered under <R32>, namely COTS parts from an old robot, or used-to-be-COTS.)

I don't know if the GP-56012 (e.g. from the 2007 kit) is available as a COTS item; this one, for example, doesn't specify the "-HC" anywhere, so it might be a COTS source for the GP-56012 to which the GDC referred. By contrast, BaneBots specify that the ones on closeout have hardened plates, and are therefore the GP-56012-HC versions.

There's a parallel discussion of similar issues happening here. It might be wise to wait until FIRST answers the question mentioned in that thread (from FRC57/Kevin Sevcik), before making a final decision on any parts that were at one time custom-ordered by FIRST for the KoP.
